Cube Highways Trust Acquires Rs. 4,185 Crore Jammu & Kashmir Road Assets, Boosting Cash Flow Stability

Cube Highways Trust has finalized the acquisition of two critical highway assets in Jammu and Kashmir from the National Infrastructure Investment Fund (NIIF), marking a significant expansion of its infrastructure portfolio. Valued at an enterprise level of Rs. 4,185 crore, the assets—Quazigund Expressway and Athaang Jammu Udhampur Highway—are strategically vital corridors in northern India. Backed by fixed annuity payments from the National Highways Authority of India (NHAI), the assets are expected to generate stable returns while insulating Cube from traffic-related risks. The deal is projected to enhance net distributable cash flows by Rs. 2.3 per unit annually over the next five years.

Strategic Expansion into Jammu & Kashmir's Infrastructure Landscape

In a major infrastructure development move, Cube Highways Trust, managed by Cube Highways Fund Advisors Pvt. Ltd., has completed the acquisition of two high-value road assets located in Jammu and Kashmir. These assets—Quazigund Expressway Pvt. Ltd. and Athaang Jammu Udhampur Highway Pvt. Ltd.—cover a combined distance of approximately 80 kilometers and serve as critical conduits in the region’s transportation network.

The Quazigund Expressway includes one of the country’s longest bi-directional tunnels, significantly easing traffic movement through the mountainous terrain, while the Athaang Highway serves as a crucial connector between Jammu and Srinagar, enhancing accessibility across a historically sensitive zone.

Financial Details and Predictable Revenue Model

The transaction, valued at a total enterprise level of Rs. 4,185 crore, encompasses both operational and financial adjustments specified in the sale and purchase agreement (SPA). What makes these assets particularly attractive from an investment standpoint is their residual concession period of more than six years and their association with semi-annual annuity payments from NHAI.

These fixed annuity payments eliminate exposure to fluctuating toll revenue, providing a traffic-agnostic revenue stream. Such a model is increasingly appealing to investors looking for long-term infrastructure returns insulated from operational volatility.

Boost to Distributable Cash Flows

Vinay C Sekar, CEO of Cube InvIT, remarked that the acquisition is projected to be immediately accretive to the trust’s financials, specifically enhancing net distributable cash flows by Rs. 2.3 per unit annually over the next five years. This projection underscores Cube's strategy of curating a portfolio of resilient infrastructure assets that deliver consistent yields to investors.

The transaction also aligns with Cube’s broader vision of consolidating annuity-based road assets, which complement its existing mix of toll and hybrid annuity model (HAM) projects.

Backed by Global Institutional Investors

Cube Highways Trust is supported by a diverse consortium of global investors, including:

  • I Squared Capital, a U.S.-based global infrastructure investor;
  • The Abu Dhabi Investment Authority (ADIA);
  • British Columbia Investment Management Corporation (BCI);
  • Mubadala Investment Company, a sovereign wealth fund owned by the Government of Abu Dhabi.

This strong institutional backing not only provides Cube with access to long-term capital but also reflects growing investor confidence in India’s infrastructure framework, particularly in projects involving annuity revenue mechanisms backed by government agencies like NHAI.
