IRB InvIT Fund has received strong backing from its unitholders to acquire 100 percent equity in three special purpose vehicles (SPVs) from IRB Infrastructure Trust, with the transaction valued at Rs 8,436 crore as of June 30, 2025. This strategic move consolidates IRB’s portfolio by adding the Hapur Moradabad, Kaithal, and Kishangarh Gulabpura tollways, thereby expanding its operations and maintenance order book by Rs 3,100 crore to approximately Rs 33,600 crore. As India’s leading integrated infrastructure developer in the highways sector, IRB’s enhanced asset base solidifies its leadership across 12 states with assets totaling over Rs 80,000 crore.

Unitholder Endorsement Signals Confidence in IRB InvIT Fund’s Growth Trajectory

On Friday, IRB InvIT Fund announced that its unitholders overwhelmingly approved the acquisition of three SPVs from its private associate, IRB Infrastructure Trust, securing nearly 96 percent support. This acquisition, valued at Rs 8,436 crore, marks a decisive step in IRB’s strategic expansion and asset consolidation within the highways infrastructure domain.

The transaction facilitates the transfer of three build-operate-transfer (BOT) highway projects—Hapur Moradabad Tollway, Kaithal Tollway, and Kishangarh Gulabpura Tollway—into the publicly listed InvIT Fund, thereby enhancing the fund’s asset quality and revenue potential. The acquisition reflects a deliberate strategy to augment IRB InvIT Fund’s portfolio with high-quality operational assets.

Strategic Implications for IRB Infrastructure and Developers

Virendra D Mhaiskar, Chairman and Managing Director of IRB Infrastructure and Developers, lauded the unitholders’ support, underscoring their confidence in the Fund’s growth roadmap. He emphasized the company’s ongoing commitment to creating value for investors through selective asset acquisitions that enhance portfolio robustness.

Following the acquisition, IRB Infrastructure Developers’ operations and maintenance (O&M) order book is expected to expand by roughly Rs 3,100 crore, reaching an estimated Rs 33,600 crore. This growth fortifies IRB’s operational scale and positions it strongly to leverage emerging infrastructure opportunities in India’s expanding highways sector.

IRB’s Position as India’s Premier Integrated Highway Developer

IRB Infrastructure and Developers holds the distinction of being India’s first fully integrated infrastructure company specializing in highways. Its extensive asset base, valued at over Rs 80,000 crore, spans 12 states, making it the country’s largest private toll roads and highways developer.

The addition of the three newly acquired BOT assets enhances IRB’s network, further consolidating its footprint across key corridors that facilitate regional connectivity and economic growth. This acquisition aligns seamlessly with the government’s infrastructure development agenda, which prioritizes highway expansion and modernization.

Outlook: Strengthening Market Leadership Through Asset Growth

IRB InvIT Fund’s successful acquisition reinforces the InvIT’s capacity to aggregate quality infrastructure assets, thereby delivering sustainable returns to unitholders. The transaction exemplifies prudent capital deployment and asset management, driving long-term value creation.

As the Indian economy accelerates its infrastructure investments, IRB’s integrated model—combining asset ownership, operations, and maintenance—places the company at a competitive advantage. Continued asset augmentation through strategic acquisitions will likely bolster IRB’s market share and operational efficiency in the coming years.

Conclusion
With unitholder endorsement secured, IRB InvIT Fund’s acquisition of Rs 8,436 crore worth of highway assets marks a milestone in the company’s strategic evolution. By integrating these high-value tollway projects, IRB Infrastructure and Developers not only expands its revenue base but also fortifies its status as a dominant player in India’s highways infrastructure sector. This move highlights IRB’s commitment to sustained growth and shareholder value enhancement in a rapidly developing market.
