SoftBank-backed e-commerce company Meesho has officially shifted its corporate domicile from Delaware to India, merging its US entity with its Indian arm. Approved by the National Company Law Tribunal in Bengaluru, this strategic move is designed to streamline the company’s path toward an initial public offering (IPO) in India. Following the merger, the Indian entity’s name was changed to Meesho Private Limited, signaling a renewed focus on solidifying its presence as a leading Indian e-commerce platform. This transition aligns with a growing trend of technology firms relocating their headquarters to India ahead of domestic listings, despite the significant tax liabilities involved.

Meesho’s Strategic Shift to Indian Incorporation

Meesho, a prominent e-commerce firm backed by SoftBank, has completed a significant corporate restructuring by merging its Delaware-based entity, Meesho Inc., with its Indian subsidiary. The National Company Law Tribunal (NCLT), Bengaluru bench, sanctioned this merger on May 27, formalizing the company’s transition to an India-based corporate structure. This shift is an essential step in Meesho’s broader strategy to pursue a public listing on Indian stock exchanges.

The merger involved absorbing Meesho Inc. into the Indian entity previously known as Fashnear Technologies Private Limited. Subsequently, the company was renamed Meesho Private Limited as per the Ministry of Corporate Affairs certification dated May 13, 2025. The rebranding underscores the company’s commitment to strengthening its Indian market identity as a comprehensive e-commerce marketplace.
