Bengaluru, India — In a significant move poised to reshape India's e-commerce landscape, Meesho, the Bengaluru-based online marketplace, has filed an updated Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) for an Initial Public Offering (IPO) aiming to raise ₹4,250 crore. This filing marks a pivotal step in Meesho's journey towards becoming the first pure-play horizontal e-commerce marketplace to list publicly in India.
Strategic Capital Allocation
The proposed IPO comprises a fresh issue of ₹4,250 crore, supplemented by an Offer for Sale (OFS) of up to 17.56 crore equity shares by existing investors and promoters. Notably, early backers such as Elevation Capital, Peak XV Partners, Venture Highway, and Y Combinator are set to divest portions of their holdings. Co-founders Vidit Aatrey and Sanjeev Barnwal will also participate in the OFS, selling a combined total of 2.35 crore shares, representing a modest fraction of their stakes. Prosus and SoftBank, significant shareholders, have opted not to offload shares in this round.
Technological Advancements and AI Integration
A substantial portion of the IPO proceeds, approximately ₹480 crore, is earmarked for enhancing Meesho's technological infrastructure. The company plans to bolster its Artificial Intelligence (AI) and Machine Learning (ML) capabilities through the establishment of "Meesho AI Labs." This initiative aims to drive innovation and streamline operations, reducing manual overheads and improving process efficiency. Additionally, Meesho intends to invest in cloud technology and marketing growth, allocating ₹1,390 crore and ₹1,020 crore, respectively, to these areas.
Financial Performance and Market Position
Despite its rapid growth, Meesho has yet to achieve profitability. In the fiscal year 2024, the company reported revenues of ₹7,615 crore, with a net loss of ₹305 crore. The following year saw an increase in losses to ₹3,941 crore, primarily due to one-time expenses associated with shifting its legal base from Delaware to India. Excluding these exceptional costs, the company posted a pre-tax loss of ₹108 crore. In the first quarter of FY26, Meesho reported a net loss of ₹289 crore. The company has indicated that it will continue to prioritize growth over profitability in the near term.
