Minda Corporation Ltd. has announced a reduction in its stake in Furukawa Minda Electric Pvt Ltd, a joint venture with Japan’s Furukawa Electric Group. Following a share subscription agreement with Furukawa Electric Company Ltd (FEC) and Furukawa Automotive Systems Inc., Minda’s holding in the venture will drop from 25% to 17.54%. This restructuring, which will see FEC’s stake increase to 82.46%, is part of a strategic shift that further solidifies Furukawa Electric’s dominant position in the venture.

In a regulatory filing on Thursday, Minda Corporation Ltd. disclosed a significant reduction in its stake in Furukawa Minda Electric Pvt Ltd. As part of a newly signed Share Subscription Agreement (SSA) with Furukawa Electric Company Ltd (FEC) and Furukawa Automotive Systems Inc., Minda’s shareholding in the joint venture will decrease from 25% to 17.54%. The agreement, dated April 24, 2025, involves the subscription of 5 crore new equity shares, priced at Rs 10 each, by FEC entities.

The completion of the share subscription will raise the FEC entities' stake in the joint venture to 82.46%, up from the previous holding of 75%. This strategic move marks a significant shift in the ownership structure of the company, enhancing the control of Furukawa Electric Group within the venture.

Furukawa Minda Electric Pvt Ltd, formerly known as Minda Furukawa Electric Pvt Ltd, was established in 2007 as a joint venture between Minda Corporation and Furukawa Electric. Over the years, the partnership has seen various changes. Notably, in November 2018, Furukawa Electric Group increased its stake in the venture from 49% to 75%, subsequently leading to the name change to Furukawa Minda Electric Pvt Ltd. This marked a shift toward greater involvement by Furukawa Electric in the company’s operations, which is now being solidified further through this new agreement.
