ISB Survey Highlights Growing Influence of Corporate Boards on Strategy

A recent survey conducted by the Indian School of Business points to a decisive shift in how corporate boards are shaping company strategy. Once viewed largely as oversight bodies, boards are now playing a more active role in long-term planning, risk management and capital allocation. The findings suggest that heightened market volatility, regulatory scrutiny and rapid technological change have pushed directors to engage more deeply with management. As Indian companies scale globally, the evolving role of boards is emerging as a critical factor in sustaining competitiveness, resilience and shareholder value.

Boards Move Beyond Oversight

The ISB survey indicates that corporate boards in India are increasingly stepping beyond their traditional compliance-driven roles. Directors are now more involved in setting strategic priorities, evaluating growth opportunities and stress-testing business models against potential disruptions.

This shift reflects a broader recognition that effective governance is no longer limited to monitoring performance but requires active participation in shaping the company’s future direction.

Strategy, Risk and Long-Term Value

Directors are also spending more time on capital allocation decisions, ensuring that investments align with long-term value creation rather than short-term earnings targets.

Technology and Talent in Focus

One of the key insights from the ISB study is the growing emphasis boards place on technology adoption and talent strategy. Digital transformation, data analytics and automation are increasingly seen as board-level priorities rather than purely operational concerns.

At the same time, succession planning and leadership development have gained prominence, with boards recognizing the link between talent depth and organizational resilience.

Independent Directors Gain Influence

The survey highlights a stronger role for independent directors, whose external perspectives are helping companies challenge entrenched assumptions and avoid strategic blind spots. Their contributions are particularly valuable in mergers and acquisitions, governance reforms and crisis management.

This trend aligns with global best practices, where board independence is closely associated with stronger governance outcomes.

Implications for Indian Corporates

The findings suggest that Indian companies with engaged, strategically aligned boards are better positioned to navigate disruption and sustain growth. For investors, board quality is increasingly becoming a key criterion in evaluating corporate credibility and long-term prospects.

As governance standards evolve, the expectations placed on directors are likely to intensify, reshaping the dynamics between boards and management.
