Kanodia Cement, a rapidly expanding player in India’s cement sector, has submitted its draft red herring prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) for approval to launch an Initial Public Offering (IPO). The offering, entirely an Offer for Sale (OFS), involves the sale of 1.49 crore shares by existing promoters and a shareholder. No new equity will be issued, and the company will not receive proceeds from the sale. With robust growth in its grinding capacity and a unique dual operating model, Kanodia Cement is positioning itself as a rising force in the domestic cement market.

IPO Overview: Offer for Sale Without Fresh Issue

Kanodia Cement's proposed IPO is structured solely as an Offer for Sale, involving the offloading of 1.49 crore shares by its promoters and one individual shareholder. The company itself will not raise fresh capital from this public offering. Consequently, the entire proceeds from the IPO will accrue to the selling shareholders, not the company’s coffers.

This type of issuance, while not contributing to balance sheet expansion, often signals confidence among early investors seeking partial exits and can help improve public visibility and liquidity for the company's equity.

Business Model: Blending B2B Manufacturing and Retail Branding

Kanodia Cement’s operations are built on a dual-channel strategy. The company utilizes a Business-to-Business (B2B) model through contract manufacturing for other cement brands, coupled with a Business-to-Consumer (B2C) approach that markets its own branded products.

The firm focuses on producing blended cement types—namely Portland Pozzolana Cement (PPC) and Composite Cement—which are known for their environmental benefits and durability. This product positioning aligns with broader industry trends moving toward sustainable construction materials.

Its cement is produced across five Satellite Grinding Units (SGUs) located in Uttar Pradesh and Bihar. As of December 31, 2024, the company had a combined manufacturing capacity of 3.54 million tonnes per annum (MTPA).

Operational Growth: A Decade of Outperformance

Kanodia Cement has emerged as one of India’s fastest-growing cement manufacturers in terms of capacity expansion. According to a Crisil report cited in the DRHP, the company’s installed cement grinding capacity registered a compound annual growth rate (CAGR) of 22.12% from FY14 to FY24. This figure significantly outpaces both the broader industry average of 7.31% and a peer group average of 9.64%.

This aggressive capacity ramp-up underscores the company's strategic foresight and ability to execute growth plans efficiently—key attributes that will likely be scrutinized by potential investors.

Financial Performance: Modest Profit Amid Expanding Revenue Base

For the nine-month period ending December 31, 2024, Kanodia Cement reported a net profit of Rs. 9.8 crore on a total income of Rs. 732 crore. While the profit margin may appear modest relative to revenue, it reflects the capital-intensive nature of the cement industry and the ongoing investments in scaling operations.

These figures indicate a business that, while not yet commanding high profitability, is building a strong top-line trajectory—a potential draw for investors with a long-term horizon.

Advisory and Management Team for the IPO

The IPO is being managed by a consortium of financial advisors, including Anand Rathi Advisors, IIFL Capital Services, and Oneview Corporate Advisors, who will serve as the book-running lead managers. Their role will be pivotal in positioning the issue in the market and ensuring regulatory compliance.
