SEBI Cracks Down on Regulatory Breaches by India Asset Growth Fund and Affiliates

India’s capital markets regulator, the Securities and Exchange Board of India (SEBI), has imposed a cumulative penalty of Rs. 29 lakh on six entities associated with India Asset Growth Fund (IAGF), citing serious breaches of Alternative Investment Fund (AIF) regulations. The penalized entities include IAGF itself, its trustee Vistra ITCL (India), fund manager Essel Finance Advisors and Managers (EFAM), and several key managerial personnel. SEBI's order highlights systemic failures in disclosure, compliance, and investor communication during the fund’s operations from April 2021 to March 2022, reinforcing its commitment to regulatory integrity and investor protection in India’s expanding AIF sector.

 

Breakdown of SEBI’s Enforcement Action

In a detailed 39-page enforcement order issued on Friday, SEBI outlined penalties against the following:

  • India Asset Growth Fund (IAGF) – Rs. 11 lakh
  • Arpan Sarkar and Jaykishan Kikani – Rs. 10 lakh (jointly and severally)
  • Vistra ITCL (India) Ltd – Rs. 6 lakh
  • Essel Finance Advisors and Managers (EFAM) and CEO Vishnu Prakash Rathore – Rs. 2 lakh (jointly and severally)

These penalties were levied in response to multiple lapses observed during a regulatory inspection spanning the financial year 2021–22.

 

Key Compliance Violations

The violations identified by SEBI relate primarily to inadequate disclosures and failures in investor-related obligations:

  • Non-disclosure in Placement Memorandum (PPM): IAGF failed to disclose key disciplinary and litigation histories of its sponsor, manager, trustee, and principal officers—an essential requirement under AIF norms.
  • Improper Disclosure Handling: Although a revised PPM was later submitted during a change-of-control process, it was neither approved by SEBI nor shared with investors, violating the mandatory transparency framework.
  • Valuation Irregularities: The fund was found to be valuing its portfolio based on underlying assets instead of directly held securities, thereby breaching SEBI's valuation standards.
  • Delayed Compliance Submissions: SEBI flagged a 10-day delay in filing the audited PPM report and a late registration with the Financial Intelligence Unit – India (FIU-IND), undermining statutory compliance.
  • Investor Grievance Redressal: An investor grievance was responded to only after the 30-day statutory window, violating timelines stipulated for investor protection.
  • Disclosure Omissions: Critical information such as the investor charter and distribution waterfall were not disclosed in the fund’s documents, representing a failure to uphold fiduciary duties.

 

Final Observations and Regulatory Implications

While IAGF eventually wound up operations and returned proceeds to investors by January 2024, SEBI deemed the breaches as materially significant. The regulator emphasized that these infractions not only risked misleading investors but also disrupted the regulatory oversight essential for India’s AIF ecosystem.

Responsibility was squarely placed on EFAM as the fund’s manager, and SEBI held that senior executives—including Rathore, Sarkar, and Kikani—had demonstrably failed to uphold the standards of conduct expected of them under AIF regulations.

 

A Wake-up Call for the AIF Industry

This enforcement action signals SEBI’s growing vigilance over the alternative investment space, which has seen increased investor interest in recent years. The regulator’s proactive stance highlights the need for robust governance, full transparency, and timely compliance across all categories of alternative funds.

Market participants, especially fund managers and trustees, are now on alert: any deviation from the prescribed norms, even if rectified eventually, can invite punitive action. As India’s capital markets evolve, adherence to rsegulatory discipline remains central to sustaining investor trust and long-term sectoral growth.
