Adani Airports Holdings Ltd (AAHL), the largest private airport operator in India, has successfully raised USD 750 million in financing from a consortium of global banks, including First Abu Dhabi Bank, Barclays, and Standard Chartered. The funds will be used to refinance existing debt and fuel the expansion of infrastructure across six key airports, as well as enhance its non-aeronautical business operations. With a vision to triple its capacity by 2040, AAHL is poised to transform India's aviation sector, starting with the forthcoming Navi Mumbai International Airport.

A Landmark Financing Deal for India's Aviation Sector

In a significant move for India’s rapidly growing aviation infrastructure, Adani Airports Holdings Ltd (AAHL) has secured USD 750 million in financing from an esteemed consortium of international financial institutions. This strategic capital injection, led by First Abu Dhabi Bank, Barclays, and Standard Chartered, marks a pivotal step in AAHL’s ambition to strengthen its position as the leading private airport operator in India.

The funds raised through this external commercial borrowing (ECB) facility will primarily serve two purposes: refinancing USD 400 million in existing debt and fueling the next phase of growth. With India’s air traffic soaring, the demand for modernized and expanded airport facilities is undeniable. AAHL’s strategy involves investing in infrastructure upgrades, capacity expansion, and the scaling of its non-aeronautical business operations, which include retail, food and beverage (F&B), duty-free services, and various airport services across its extensive network.

Strategic Use of Proceeds to Fuel Airport Growth

The funds secured by AAHL will be channeled into a comprehensive growth strategy aimed at enhancing airport infrastructure across six of its key airports: Ahmedabad, Lucknow, Mangaluru, Jaipur, Guwahati, and Thiruvananthapuram. By expanding these airports' capacity, AAHL will be better equipped to handle the increasing volume of passengers, providing a world-class experience while simultaneously addressing the growing air travel demand.

Furthermore, the funds will also be directed towards expanding AAHL’s non-aero business segments, which are crucial to the company’s long-term profitability. This includes scaling up retail operations, F&B services, duty-free outlets, and overall customer service offerings—an area that is increasingly vital in the competitive airport sector.

A Vision for the Future: Triple Passenger Capacity by 2040

AAHL is not merely focused on short-term gains. The company has laid out an ambitious long-term vision to triple its airport capacity, aiming for an annual passenger throughput of 300 million by 2040. This bold plan is expected to significantly transform India's aviation infrastructure and position AAHL as a dominant player in the global airport landscape.

A key component of this vision is the ongoing development of the Navi Mumbai International Airport. With the first phase slated to accommodate 20 million passengers annually, this project will significantly bolster Mumbai's aviation capacity. As the airport expands, it is expected to reach a total capacity of 90 million passengers per year, substantially elevating the Mumbai region’s status as a global aviation hub.

AAHL’s Expansion Plans: Reinforcing India’s Position as an Aviation Powerhouse

AAHL operates eight major airports across India, handling a substantial share of the country’s passenger traffic and air cargo. In the fiscal year 2025, the company managed 94 million passengers, with an overall capacity of 110 million, demonstrating its pivotal role in the Indian aviation market. With the forthcoming additions to its infrastructure, AAHL is well on its way to achieving its growth objectives, positioning itself as the backbone of India's aviation industry.

The company’s CEO, Arun Bansal, emphasized that the support from global financial institutions highlights the robust long-term potential of India’s aviation infrastructure. He also pointed out that AAHL’s focus on delivering exceptional customer experiences and prioritizing sustainability will continue to drive its growth and set global benchmarks for service and operational efficiency.

Global Confidence in AAHL’s Vision and India’s Aviation Future

The trust placed in AAHL by leading international financial institutions underscores the growing recognition of India’s aviation sector as a key area of investment. As the company accelerates its expansion plans, the focus on sustainability, technology-driven operations, and community engagement will remain at the core of its growth strategy. AAHL’s progress serves as a clear indicator of the larger transformation occurring within India’s infrastructure, as the country continues to emerge as a major player in the global aviation market.

Legal Counsel and Corporate Structure

For this landmark financing transaction, AAHL was supported by a team of legal experts from both Indian and international law firms. Latham & Watkins LLP and Linklaters LLP acted as English law counsel, while Cyril Amarchand Mangaldas and TT&A represented the company in Indian law matters.

As India’s largest private airport infrastructure company, AAHL controls approximately 23% of the country’s passenger footfalls and more than 29% of air cargo traffic. With such a commanding presence in the market, the company is well-positioned to lead the way in airport modernization and the delivery of world-class travel experiences.

Conclusion: A Defining Moment for AAHL and India’s Aviation Industry

The successful closure of this financing deal is a defining moment for Adani Airports Holdings Ltd and India’s broader aviation sector. With its focus on expansion, technological innovation, and service excellence, AAHL is not only set to redefine airport experiences for millions of passengers but is also helping shape the future of global aviation. The company’s long-term growth trajectory, coupled with the backing of international financial institutions, reinforces its role as a key player in the rapidly evolving global airport infrastructure market. As India’s aviation hub continues to expand, AAHL stands at the forefront of a new era in air travel.
